These Terms apply to three user classes:
- Business Owners — individuals or entities who register a business and create a storefront on SubRobin.
- End Customers — individuals who subscribe to a product or service offered through a SubRobin storefront.
- API / Developer Users — developers who access SubRobin capabilities via our API.

- "Platform" means the SubRobin website, APIs, and associated services.
- "Storefront" means the public-facing subscription page created by a Business Owner on the Platform.

- "Content" means any text, images, data, or other material submitted to or published on the Platform.
2. Acceptable Use Policy
You agree to use SubRobin only for lawful purposes and in a way that does not infringe the rights of others. You must not:
- Use the Platform to facilitate any activity that violates applicable local, national, or international law.
- Attempt to gain unauthorised access to any part of the Platform, other accounts, or connected systems.
- Introduce malicious software, conduct denial-of-service attacks, or interfere with Platform operations.
- Use automated bots or scrapers on the Platform without our written consent.
- Misrepresent your identity, impersonate any business, person, or entity, or create a Storefront for a business you do not own or have explicit authority to represent.
- Engage in deceptive, misleading, or fraudulent practices towards Customers.
- Circumvent GMV limits or billing enforcement through artificial means.
3. Prohibited Business Types
The following business types are prohibited on SubRobin regardless of legality in any jurisdiction. Creating a Storefront for a prohibited business type is grounds for immediate account suspension without refund:
- Adult content platforms, escort services, or any sexually explicit material.
- Sales or distribution of weapons, firearms, ammunition, or weapon components.
- Counterfeit goods, pirated software, or intellectual property infringement services.
- Unlicensed financial products, securities, investment advice, or money transmission services.
- Illegal drugs, controlled substances, or paraphernalia.
- Gambling or lottery services not in compliance with applicable regulations.
- Multi-level marketing (MLM) schemes or pyramid schemes.
- Services designed to harass, threaten, or harm any individual or group.
- Any business whose operation would require SubRobin to violate applicable law.
4. Business Owner Obligations and Representations
By creating a Storefront you represent and warrant that:
- You are at least 18 years of age and have legal capacity to enter into binding agreements.
- You own or operate the business represented by your Storefront, or have explicit authority from the business to create the Storefront on their behalf.
- All information you provide during registration and onboarding is accurate and will be kept up to date.
- You will fulfil all Subscription commitments made to your Customers and handle refunds, cancellations, and disputes in good faith.
- You will comply with all applicable laws, including consumer protection, data protection, and tax obligations in your jurisdiction.
- You will not use SubRobin to collect payments for goods or services you do not intend to deliver.
- You are responsible for accurately describing your subscription packages — what Customers receive, at what intervals, and at what price.
5. Customer Subscription Terms
When subscribing to a Business Owner's package through a SubRobin Storefront:
- Billing cadence: Subscriptions are billed monthly on the date of the initial subscription unless otherwise stated on the Storefront.
- Cancellation: You may cancel at any time via the customer portal. Cancellation takes effect at the end of the current billing period. No partial-month refunds by default unless the Business Owner explicitly offers them.
- Refund policy: Refund eligibility is determined by the Business Owner's stated policy. SubRobin does not guarantee refunds. Raise disputes with the Business Owner first; if unresolved, contact SubRobin support.
- Price changes: If a Business Owner changes the price of a package, existing subscribers will be notified at least 30 days in advance.
- Payment processing: All payments are processed securely by Stripe. SubRobin does not store card details.
- Agreement: By completing a subscription checkout you agree to these Terms and to the Business Owner's own terms of service if provided.
6. Platform Fees and GMV Enforcement
SubRobin charges a per-transaction fee on all Customer Subscriptions. Current fees by tier:
| Tier | Transaction Fee | Monthly GMV Limit |
|---|---|---|
| Launch (Free) | 5% | $1,000 |
| Startup | 3% | Unlimited |
| Growth | 2% | Unlimited |
| Enterprise | Negotiated | Unlimited |
GMV limit enforcement (Launch tier): Once a Launch Storefront reaches $1,000 in monthly Customer Subscriptions, new checkouts are suspended until the Business Owner upgrades or until the following calendar month. Existing active subscriptions continue to renew normally — only new sign-ups are blocked.
7. Stripe Connect and Payouts
Payouts for paid tiers are processed via Stripe Connect. By completing Stripe Connect onboarding you also agree to the Stripe Connected Account Agreement.
- SubRobin's transaction fee is deducted automatically before payout to your Connect Account.
- SubRobin is not responsible for payout delays caused by Stripe's own policies or verification requirements.
- Business Owners are solely responsible for their own tax obligations on received payouts.
8. Identity Verification Requirements
SubRobin may require Business Owners to verify their identity or business ownership. Providing false information, impersonating another business, or using false contact details is a material breach and grounds for:
- Immediate account suspension without notice.
- Forfeiture of any accrued payouts pending investigation.
- Referral to relevant law enforcement authorities.
- Civil legal liability to the impersonated business.
9. Intellectual Property
Your Content: Business Owners warrant they own or have full rights to all Content submitted to the Platform. You grant SubRobin a non-exclusive, royalty-free, worldwide licence to display your Content solely for the purpose of operating your Storefront.
SubRobin Content: All Platform software, design, trademarks, and documentation are the exclusive property of appaaz. You may not copy, reproduce, or distribute any SubRobin material without written consent.
AI-generated content: Package descriptions generated by SubRobin's AI are suggestions only. Business Owners are solely responsible for reviewing, editing, and owning any AI-generated content published on their Storefront.
10. Impersonation and Takedown Policy
If you believe a Storefront is fraudulently representing your business, file a report at /report.
- Response time: SubRobin targets a 24-hour review of all impersonation reports.
- Interim action: SubRobin may suspend the reported Storefront pending investigation without prior notice.
- Reinstatement: If a report is unfounded, the Storefront will be reinstated and the Business Owner notified.
- False reports: Filing a false impersonation report with intent to harm a legitimate business may result in account suspension and legal liability.
11. Limitation of Liability
To the fullest extent permitted by law, SubRobin and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or business interruption.
SubRobin's total liability to you for direct damages shall not exceed the greater of: (a) fees paid by you to SubRobin in the three months preceding the claim, or (b) $100 USD.
SubRobin is not liable for disputes between Business Owners and their Customers.
12. Indemnification
You agree to indemnify and hold harmless SubRobin, appaaz, and their officers, directors, employees, and agents from any claims, liabilities, damages, or expenses arising out of:
- Your use of the Platform in violation of these Terms.
- Any Content you submit to the Platform.
- Your violation of any third-party rights, including intellectual property rights.
- Any dispute between you and a Customer or another Business Owner.
13. Governing Law and Jurisdiction
These Terms are governed by the laws of Bangladesh. Any disputes shall be subject to the exclusive jurisdiction of the courts of Dhaka, Bangladesh.
If you are a Consumer in the European Union or United Kingdom, mandatory consumer protection laws of your country of residence may also apply.
14. Account Termination
By you: Contact support@subrobin.com. Closing your account does not automatically cancel active Customer Subscriptions.
By SubRobin: We may suspend or terminate your account immediately without notice if:
- You materially breach these Terms.
- We are required to do so by law or a competent authority.
- We reasonably suspect fraud, impersonation, or abuse of the Platform.
- Your Storefront operates in a prohibited business category.
15. Changes to These Terms
